At WESA’s Annual General Meeting on Tuesday, October 20, members will be asked to vote on a Special Resolution to adopt a new Constitution and Bylaws and allow WESA to incorporate as a non-profit society under British Columbia’s Societies Act.

Why now?
WESA currently operates as an unincorporated association. Changes to the Vancouver Park Board’s field permitting process have made formal non-profit status increasingly important to securing the field permits our league depends on.
Incorporation would give WESA its own legal identity and a more formal structure for contracts, banking, insurance, equipment and organizational continuity. It also requires WESA to have a Constitution and Bylaws suitable for filing under the Societies Act.
The proposed documents update WESA’s existing governance framework, bring outdated provisions up to date, reconcile clauses that needed it, clarify how decisions are made, and incorporate rights and requirements under the Act.
What would change?
Incorporation would not change the intent of WESA’s purposes or affect how the league operates. It does, however, formalize how the organization is governed.
The proposed bylaws address membership and voting, general meetings, elections and Commissioner terms, member rights, discipline and removal, and how decisions are made by members and the Commission.

The vote
The Special Resolution will be considered at the WESA Annual General Meeting:
Tuesday, October 20, 2026 · 7:00–9:00 pm
Under WESA’s current bylaws, the Special Resolution must be supported by at least 60% of the voting members present. Because this is counted against everyone present, an abstention has the same effect as a vote against.
The complete text being circulated today is the text the Commission intends to put to the vote. If you think any wording should change, please raise it at a Q&A session so it can be considered before the AGM. If adopted, the new bylaws would require 2/3 of votes cast for future Special Resolutions.
Please take some time over the next three weeks to review the proposal and supporting information, and bring any questions to one of the Q&A sessions before the AGM.
